There is a subtle (or not so subtle) difference. These terms refer to the degree to which water is prevented from leaving, entering or washing off some material or substance. Water resistant usually means that water is prevented from entering something up to a certain point (sometimes almost completely). However in some cases or under certain circumstances this is not totally true. On the other hand, waterproof means that water is completely prevented from entering, leaving or damaging something. That applies to say, waterproof and water resistant watches.
